This End User License Agreement ("EULA") is a legal agreement between you (the individual using the SalesArena HQ application, "You") and SALESARENA HQ LLC ("we", "us", or "SalesArena HQ") for use of the SalesArena HQ web application, mobile web experience, and any accompanying materials (collectively, the "Software").
Read this EULA carefully. By accessing, downloading, installing, or using the Software, You agree to be bound by it. If You do not agree, do not use the Software.
This EULA is drafted in plain language and has not been reviewed by an attorney.
1. License Grant
Subject to Your compliance with this EULA and payment of applicable subscription fees (see our Terms of Service), we grant You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for Your internal business purposes for the duration of Your subscription.
2. Restrictions
You may not:
- Copy, modify, translate, or create derivative works of the Software
- Reverse-engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law
- Sell, rent, lease, sublicense, distribute, or transfer the Software or Your account access to any third party
- Remove or alter proprietary notices, trademarks, or branding within the Software
- Use the Software to build a competing product or service
- Circumvent tier gating, seat limits, or feature restrictions (e.g., calling internal APIs to bypass paywalls)
- Use the Software in any manner that violates applicable law or the rights of any third party
3. Ownership
The Software is licensed, not sold. SalesArena HQ and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This includes source code, database schemas, UI designs, artwork, gamified aesthetics, the default badges library, cosmetic frames, sound effects (if any), and documentation. No rights are granted to You other than those expressly stated in this EULA.
4. Your Content
You retain ownership of the content You upload or create in the Software (sales entries, announcements, images, custom badges, etc.). By using the Software, You grant us a limited license to host, process, and display Your content as described in our Privacy Policy. You are responsible for ensuring You have the rights to any content You upload, including images, GIFs, and text.
5. Updates & Changes
We may deploy updates, patches, and new features to the Software at any time. Updates are typically deployed transparently without downtime. We reserve the right to change or discontinue features, provided that core functionality of Your paid tier remains available.
6. Third-Party Components
The Software includes and/or interacts with third-party components (React, FastAPI, MongoDB, Stripe, Resend, Emergent Object Storage, and others). Your use of those components is governed by their respective licenses and terms. A list of major third-party dependencies is available upon request.
7. Feedback
If You submit feedback, ideas, or suggestions about the Software, You grant us a perpetual, worldwide, royalty-free license to use them without obligation to You.
8. Termination
This EULA is effective until terminated. It terminates automatically if You fail to comply with its terms, or if Your subscription is cancelled or terminated. Upon termination, You must stop using the Software. Sections 3, 4, 7, 9, 10, 11, and 12 survive termination.
9. Warranty Disclaimer
The Software is provided "AS IS" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Leaderboards, points, and challenge outcomes are for motivational purposes only and are not audited business records.
10. Limitation of Liability
To the fullest extent permitted by law, in no event will SalesArena HQ, its officers, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to Your use of the Software. Our total aggregate liability under this EULA will not exceed the fees paid by Your Company in the twelve (12) months preceding the claim.
11. Export Compliance
You agree to comply with all applicable U.S. and international export-control laws in Your use of the Software.
12. Governing Law
This EULA is governed by the laws of the State of Delaware, USA, without regard to conflict-of-law provisions. Any dispute arising from this EULA will be resolved as described in the Terms of Service.
13. Entire Agreement
This EULA, together with our Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between You and SalesArena HQ regarding the Software.
